1. Introduction
1.1 These Terms and Conditions (the "Agreement") govern your access to and use of the online courses provided by SparkWise (the "Services"). By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree to these terms, you may not use the Services.
2. Payment
2.1 All payments for the courses must be made in advance through our website.
2.2 We accept payment by credit card and other payment methods as indicated on our website.
2.3 At SparkWise, our top priority is your satisfaction with our programs. We stand behind the quality of our classes and offer a full refund of your program fee if you are not satisfied after attending the first class. Please note that after the initial class, our courses become non-refundable.
3. Course Access
3.1 After you have made your purchase, an email will be sent to you one week before the initial class begins. This email will include the link to both the Zoom and Google Classroom platforms.
3.2 The access to the course material is restricted to the duration of the course or as otherwise specified in the course description.
3.3 You agree not to share your login credentials or provide unauthorized access to the course materials to any third party.
4. Intellectual Property
4.1 All course materials provided through the Services are the intellectual property of SparkWise and are protected by applicable copyright and other intellectual property laws.
4.2 You agree not to use, copy, or distribute the course materials, except as expressly authorized in this Agreement or as otherwise permitted by law.
4.3 Additionally, you acknowledge and agree that any live classes provided through the Services may not be recorded or distributed in any form without the express written consent of SparkWise. Any unauthorized recording or distribution of Zoom classes is strictly prohibited and may result in termination of your access to the Services and/or legal action.
5. Disclaimer of Warranties
5.1 The Services are provided on an "as is" basis without warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability and fitness for a particular purpose.
5.2 SparkWise does not guarantee the accuracy or completeness of any information provided through the Services, and shall not be responsible for any errors or omissions in such information.
6. Limitation of Liability
6.1 SparkWise shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating to the Services or this Agreement, even if advised of the possibility of such damages.
6.2 In no event shall SparkWise's liability to you for any claim related to the Services or this Agreement exceed the amount paid by you for the course giving rise to the claim.
7. Governing Law and Dispute Resolution
7.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which SparkWise is located, Canada.
7.2 Any dispute arising out of or relating to this Agreement or the Services shall be resolved through arbitration in accordance with the rules of Canada.
8. Modification of Terms
8.1 SparkWise may modify this Agreement at any time, and such modifications shall be effective immediately upon posting of the modified Agreement on our website.
8.2 Your continued use of the Services following any such modification shall constitute your acceptance of the modified Agreement.
9. Termination
9.1 SparkWise may terminate this Agreement and your access to the Services at any time and for any reason.
9.2 Upon termination, you must immediately cease all use of the Services and delete any course materials in your possession.
10. Indemnification
10.1 You agree to indemnify and hold SparkWise harmless from any and all claims, damages, expenses, or other losses arising out of or relating to your use of the Services or any violation of this Agreement.
10.2 This indemnification obligation shall survive the termination of this Agreement.
11. Privacy Policy
11.1 SparkWise's Privacy Policy is incorporated into this Agreement by reference.
11.2 By using the Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.
12. Acknowledgment
12.1 This Agreement constitutes the entire agreement between you and SparkWise with respect to the Services and supersedes all prior or contemporaneous agreements or representations, whether written or oral.
12.2 Any waiver of any provision of this Agreement will be effective only if in writing and signed by SparkWise.

12.3 By purchasing and using our courses, you acknowledge that you have read, understood, and agreed to these terms and conditions.
12.4 If you do not agree to these terms and conditions, you may not purchase or use our courses.
13. Electronic Communications
13.1 By using the Services, you consent to receive electronic communications from SparkWise, including but not limited to emails, newsletters, and notices.
13.2 You agree that any electronic communication provided by SparkWise satisfies any legal requirement that such communication be in writing.
14. Disclaimers
14.1 SparkWise does not guarantee that the Services will be error-free or uninterrupted, or that the content provided through the Services will be accurate or complete.
14.2 The Services are provided on an "as is" and "as available" basis, without any representations or warranties of any kind, either express or implied.
14.3 SparkWise disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
15.1 In no event shall SparkWise be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use or inability to use the Services, even if SparkWise has been advised of the possibility of such damages.
15.2 SparkWise's liability to you for any direct damages arising out of or in connection with the use of the Services shall be limited to the amount paid by you for the course materials giving rise to such liability.
This Agreement is effective as of the date of purchase and remains in effect until terminated by either party.
We reserve the right to update or modify these terms and conditions at any time without prior notice. It is your responsibility to review these terms and conditions periodically for any changes. Your continued use of our courses after any such changes constitutes your acceptance of the new terms and conditions. By purchasing a course on our website, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
